Important Disclosures
1. Who we are
Astra Alerts is a financial publication published by ASTRAALERTS LLC, a Florida limited liability company. We publish general commentary, educational material and model signal calls about publicly traded companies in technology themes, to all readers in a membership tier alike and on a regular schedule.
Astra Alerts is published as a bona fide financial publication of general and regular circulation. ASTRAALERTS LLC intends to rely on the exclusion from the definition of "investment adviser" in Section 202(a)(11)(D) of the Investment Advisers Act of 1940 (15 U.S.C. § 80b-2(a)(11)(D)), as interpreted in Lowe v. SEC, 472 U.S. 181 (1985). It is not registered as an investment adviser or broker-dealer with the Securities and Exchange Commission or any state, is not your fiduciary, and nothing we publish creates an advisory, brokerage or fiduciary relationship. We do not manage money, we have no client accounts, and we do not execute or route trades.
2. Not advice, and not about you
Our content is general and educational. It is the same for every member of a tier. It is not tailored to any person, and it does not take account of anyone's financial situation, holdings, objectives or tolerance for risk. Nothing we publish is a recommendation that any person buy, sell or hold any security or adopt any strategy, or an offer to sell, or a solicitation of an offer to buy, any security or any interest in ASTRAALERTS LLC. We do not answer questions about what an individual should do with their own investments.
3. When we publish
We publish one signal edition after the 4:00 PM Eastern time close of every trading day (a day on which the New York Stock Exchange is open for regular trading), at a fixed time, whether or not there is a signal to report, and a newsletter every week. Our signal conditions are measured only at the daily or weekly close. We do not publish during the trading day and we do not time publication to any market event or news release. A person reviews each edition before it is released. Prices can move materially between the close, our publication and the next time you could act.
Bull and Whale members receive each edition in the same send. Shark members receive a digest 24 hours later with the ticker, exchange, score, figures and links removed.
4. What our signal terms mean
| Term | Meaning in our model portfolio |
|---|---|
| Entry | A name enters the model portfolio |
| Add | The model portfolio's weight in a name is increased |
| Trim | The model portfolio's weight in a name is reduced |
| Exit | A name leaves the model portfolio |
| Watch | A name is flagged for observation; no change to the model portfolio |
These terms describe changes to a hypothetical model portfolio. They are never an instruction to any reader.
5. The Signal Strength Score
The score, from 1 to 5, rates how fully a setup meets the six factors in our published methodology. It is not a probability of profit, a price target, a measure of expected return or a recommendation. A high score does not mean a signal will succeed.
6. Model portfolio and signal record: hypothetical results
Our model portfolio and signal record are hypothetical. No money is invested and no trades are made. They do not represent the results of any person or account.
- The model portfolio is a paper-traded portfolio of 35 companies, maintained for education since July 1, 2026. It is not a fund and cannot be invested in.
- Results are calculated under our published methodology. Because editions are published after the close, the record prices each signal at the opening price of the next regular session.
- Results do not reflect commissions, fees, taxes, the difference between quoted and achievable prices, or the effect that real trading would have on prices. Real results would be lower.
- Hypothetical results are prepared with rules chosen by us and can be affected by those choices. They cannot account for the financial risk of real trading or for how a person would actually behave during losses.
- Every call we publish is entered in the record within 24 hours. Calls that did not work appear alongside those that did. Nothing is deleted or edited; corrections are added and dated.
- Where we compare results with an index fund, it is a passive benchmark shown for context. It differs from the model in composition, concentration and risk.
- We will not publish a hit rate until 30 signals have closed, and then only for all closed signals together, never a selected subset.
- No representation is made that any account will or is likely to achieve results similar to those shown.
Past and hypothetical results do not predict future results.
7. The Thematic Heat Index
The index is a table of computed historical percentage returns by theme, with passive benchmarks for context. It reports what has already happened. It is not a forecast, a rating or a recommendation about any theme or security.
8. How our content is produced
Signal conditions are computed from licensed market data under our published methodology. We use software, including artificial intelligence tools, to help draft the commentary that explains them. A person at Astra Alerts reviews and approves every edition before it is released, and nothing is sent automatically. Software can make mistakes, and so can people.
9. Data and accuracy
We obtain market data from third-party providers under license. It may be delayed, incomplete or wrong. We try to be accurate and we correct errors we find, but we do not guarantee the accuracy, completeness or timeliness of anything we publish. Statements about the future are opinions and may prove wrong.
10. Conflicts of interest and personal trading
People at Astra Alerts, including its founder and her household, invest personally, long only, in the technology themes this publication covers, and hold positions in some of the companies we write about, including companies in the model portfolio. That creates a potential conflict of interest.
When our people hold a company that is the subject of a signal, the signal says so, with this line in the call itself and in our signal record: "Disclosure: one or more people at Astra Alerts hold a position in this security."
We are finalizing a written Personal Trading and Disclosure Policy with counsel. It will set trading restrictions around every signal, including a bar on our people trading a security from the time a call about it is drafted until two full trading days after it is published, and a bar on trading against a published call without first disclosing that intention publicly. We will publish its rules on this page before Shark access opens on November 2, 2026.
11. How we are paid
Our only revenue is membership fees paid by our readers. We receive no payment from any company we cover, or from any broker, exchange or trading venue. We do not accept paid placements, and we receive no compensation tied to any reader's trades.
12. Risk
Investing in securities involves risk, including the loss of everything invested. The companies we cover are concentrated in technology and emerging themes, which can be more volatile than the market as a whole and can fall sharply together. We write about common stocks only; we do not publish anything about options, margin or other leveraged instruments, and nothing we publish should be read as a view on them. Do not invest money you cannot afford to lose. Consider your own circumstances, and consider consulting a licensed financial professional and a tax adviser, before making any investment decision.
13. Sample material on our site
Any signal card shown on our site is an illustrative sample created for design purposes. It does not describe a real signal, a real company or the result of any member.

Waitlist Terms
1. These terms
These Waitlist Terms apply when you join the waitlist for Astra Alerts at astraalerts.ai. Astra Alerts is a publication of ASTRAALERTS LLC ("we", "us"), a Florida limited liability company, 382 NE 191st Street #265365, Miami, FL 33179.
You accept these terms by checking the box on the registration form and selecting "Join the waitlist". If you do not agree, do not register. After you submit the form we send an email asking you to confirm your address. You are on the waitlist from the time you confirm it. A registration that is never confirmed is not on the waitlist and receives nothing further from us.
You stay on the waitlist until you ask us to remove you, or we remove the registration under section 11 or delete it under our Privacy Policy. Opening a free Shark account does not take you off the waitlist.
2. Who may register
You must be 18 or older and a resident of the United States. We ask for your ZIP code to confirm United States residence and use it for no other purpose. One registration per person, using your own email address.
3. What registration is, and what it is not
- Registration is an expression of interest. It is free. We take no payment and no card details.
- Registration does not reserve, hold or guarantee a place, a price or a membership of any kind.
- You may stop our emails at any time by using the unsubscribe link in any email. You stay on the waitlist, but we will not be able to email you a Founding Whale claim link; you may ask for it at info@astraalerts.ai when your wave opens. To leave the waitlist altogether, email info@astraalerts.ai. If you leave and later rejoin, your place in the order is the time you confirm your email address when you rejoin.
4. What you will receive
- Emails about the Astra Alerts launch, membership and publication.
- From 9:00 AM Eastern time on November 2, 2026, or straight away if you confirm your registration after that time, an invitation to activate a free Shark membership. Shark members receive a digest of each signal edition by email 24 hours after it is published, with the ticker, exchange, score, figures and links removed. Activating a membership requires you to accept our Terms of Service at that time.
- When paid memberships open, an invitation to purchase, as described in section 5.
Dates, prices and features may change before you purchase. We will tell waitlist members by email if they do.
No community channel exists at pre-registration or during the free Shark period. A members' community channel may open from February 1, 2027, under separate Community Guidelines that we will publish before it opens.
5. Paid memberships and Founding Whale
Paid memberships open on February 1, 2027. No payment is taken before that date. The prices planned at the date of these terms are: Bull, $29 per month or $249 per year; Whale, $79 per month or $749 per year.
Founding Whale is the Whale membership, with identical content, at a founding price for a limited number of waitlist members. Please read these points carefully:
- Price and term. $49 per month or $449 per year, held for 24 months from your first payment. After 24 months the membership moves to the standard Whale rate then in force, currently $79 per month or $749 per year. We will give you at least 60 days' written notice before the rate changes, with reminders 30 and 7 days before, and you may cancel before it does.
- Limit. There are 150 Founding Whale places. We plan to keep the founding price available until all 150 have been taken; there is no closing date. You may join the waitlist for as long as places remain.
- Eligibility. The email address on your account must be on the waitlist at the time of purchase. United States residents aged 18 and over only.
- Allocation. Claim links go out in the order in which people confirmed their email address, in waves, from 9:00 AM Eastern time on February 1, 2027. Each wave has 72 hours before the next wave is invited, and earlier links stay valid while places remain. Places go to the first 150 payments that clear, so an early position on the waitlist gives you an earlier link, not a guaranteed place. At checkout a place is held for you for 30 minutes and released if payment is not completed. If no place is free, checkout will not open. If a payment is ever taken after all 150 places are filled, it is refunded in full. Places taken by members of our beta group, a small number of waitlist members invited to test the service, count toward the 150.
- If a founding membership ends. The founding price and your founding member number and badge (together, your founding status) are personal and cannot be transferred. If the membership is canceled or ends for any reason, they end permanently and the place is not reissued.
This section is a summary. The price, renewal, cancellation and refund terms that apply to any purchase are those shown to you and accepted by you at the time of purchase. Nothing in this section is an offer that can be accepted by registering.
Features described on our site as planned or "Phase II" have no release date, are not part of any membership, and may never be released. Do not register or purchase in expectation of them.
6. What Astra Alerts is
Astra Alerts is a financial publication. We publish general market commentary, educational material and model signal calls about publicly traded companies in technology themes. Every subscriber within a membership tier receives the same content.
- ASTRAALERTS LLC is not a registered investment adviser or broker-dealer. We do not manage money, hold client assets or execute trades.
- Nothing we publish is tailored to you. We do not know your financial situation, objectives or tolerance for risk, and we do not take them into account.
- Nothing we publish is a recommendation to you to buy, sell or hold any security, an offer or solicitation, or a promise of any result.
- We do not give individual advice. If you ask us what you should do with your own investments, by email or in any other way, we will decline to answer.
- Our model portfolio and signal record are hypothetical. They do not represent actual trading or actual results.
- The people who produce Astra Alerts, including its founder and her household, invest personally, long only, in the technology themes we cover and own some of the companies we write about, including companies in the model portfolio. When our people hold a company that is the subject of a signal, the signal says so. We are finalizing a written Personal Trading and Disclosure Policy with counsel, which will set trading restrictions around every signal, and we will publish it before Shark access opens on November 2, 2026. Our Important Disclosures say more.
7. Risk
Investing in securities involves risk, including the loss of everything you invest. Past and hypothetical results do not predict future results. Decisions about your money are yours alone. Consider taking advice from a licensed professional who knows your circumstances.
8. Email and electronic records
By registering you ask us to send you emails about the Astra Alerts launch and membership, and you agree that we may give you notices and records electronically at the email address you registered. Agreeing to receive these emails is not a condition of any purchase. You can stop them at any time as described in section 3. We do not collect telephone numbers and we do not send text messages. Our Privacy Policy explains how we handle your information.
9. Our content and site
The site and everything we send you belong to ASTRAALERTS LLC or its licensors. You may read them for your own personal use. You may not republish, resell or systematically copy them, use automated tools to extract them, or use them to train or improve an artificial intelligence or machine learning system. Do not interfere with the site, attempt to access data that is not yours, or register with false details.
10. Our responsibility to you
The site, the waitlist and our emails are provided free of charge, "as is" and "as available". To the fullest extent the law allows, we give no warranty that they will be uninterrupted, timely, accurate or complete.
To the fullest extent the law allows, we and our owners, managers and contractors are not liable for investment or trading losses, or for indirect, incidental, special, consequential or punitive damages, arising from the waitlist, the site or anything we publish, and our total liability to you under these terms will not exceed one hundred US dollars ($100).
Nothing in these terms excludes or limits liability for fraud or intentional misconduct, or any liability or right that cannot lawfully be excluded or limited.
11. Changes and ending
We may change these terms for the future by posting a new version with a new effective date and emailing waitlist members at least 30 days before a material change takes effect. If you do not agree, you may leave the waitlist. We may remove a registration that breaches these terms or uses a duplicate or disposable email address. If we ever close the waitlist or withdraw the founding price before all 150 places are taken, we will email waitlist members first.
12. Governing law and disputes
Please contact support@astraalerts.ai first. Most concerns can be resolved quickly that way.
These terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute arising from these terms, the waitlist or the site will be brought only in the state or federal courts located in Miami-Dade County, Florida, and you and we consent to those courts. Either of us may instead use a small claims court that has jurisdiction.
To the fullest extent the law allows, you and we each agree to bring claims only on an individual basis and not as a plaintiff or class member in any class or representative proceeding, and each waive trial by jury.
If you open an account or buy a membership, the dispute resolution terms of the Terms of Service you accept at that time will apply in place of this section. The rest of these Waitlist Terms continue to govern your place on the waitlist.
13. General
If any part of these terms is found unenforceable, the rest remains in effect. Our not enforcing a term is not a waiver of it. These Waitlist Terms are the whole agreement between you and us about the waitlist. The Privacy Policy explains how we handle your information. You may not transfer your registration. We may transfer these terms to a successor to our business, and we will tell you by email if we do.

Information collected automatically
- Site data: internet protocol (IP) address, approximate location derived from it (state or city), browser and device type, pages viewed, referring page, and dates and times of visits.
- Email data: whether an email was delivered, opened or clicked. Our email provider records this through small image files and tracked links in the email.
- Form protection and fonts: our registration form is protected by Google reCAPTCHA, and our pages load fonts from Google Fonts, as described in section 7.
Information from others
- Our payment processor confirms whether a payment succeeded, failed or was disputed.
4. Information we do not collect or use
Astra Alerts is a publication. Every subscriber within a membership tier receives the same content. We do not collect, and ask that you never send us:
- brokerage or bank login details, or account numbers;
- your investment holdings, transactions, objectives, income, net worth or risk tolerance;
- Social Security numbers or other government identifiers;
- health, biometric or other sensitive personal information.
If you send us any of this, for example in a support email, we will not use it to respond with advice and we will delete it from our support records where we reasonably can. We do not use any personal information to tailor the market content we publish to you.
We do not collect a telephone number and we do not send text messages. An earlier version of our registration form requested a telephone number; any numbers received through it are being deleted and will not be used to contact anyone. If we introduce text messaging in future, we will ask for your number and your separate consent at that time.
5. How we use your information
- To operate the waitlist and, when memberships open, to create and manage your account.
- To deliver the editions, newsletters and published record for your membership tier.
- To take payment, manage renewals, and send the notices your membership terms require, such as renewal reminders and notice of a price change.
- To administer Founding Whale membership: eligibility at the time of purchase, the order of allocation, and the 150-member limit.
- To answer your questions and requests.
- To keep the service secure, prevent fraud and account sharing, and enforce our terms.
- To understand, in aggregate, how the site and our emails perform so that we can improve them.
- To send marketing email about Astra Alerts, which you can stop at any time.
- To meet legal, tax and record-keeping obligations and to establish or defend legal claims.
We do not use your personal information for automated decisions that produce legal or similarly significant effects on you. We use software, including artificial intelligence tools, to help draft the market commentary we publish; that process works from market data, not from information about you.
6. Email: service messages and marketing
Marketing email. When you join the waitlist you ask us to email you about the Astra Alerts launch and membership. Agreeing to receive marketing email is not a condition of any purchase. Every marketing email contains an unsubscribe link and our postal address. We act on an unsubscribe request promptly and in any case within 10 business days. You can also email support@astraalerts.ai.
Service messages. If you hold an account or a paid membership, we will still send messages that are part of the service or required by your membership terms. These include the editions you subscribed to, billing and renewal notices, notices of changes to terms or prices, and security notices. You can stop the editions by closing your account.
7. Cookies and similar technologies
Our site sets only the cookies that are needed to run it: to keep you signed in, to remember settings, and to protect forms and the site against abuse. The site cannot work without them, so there is no setting to switch them off.
Google reCAPTCHA. Our registration form is protected by Google reCAPTCHA, which collects hardware and software information and your interaction with the page, and sends it to Google, to tell people apart from automated traffic. Google's Privacy Policy and Terms of Service apply to that processing.
Google Fonts. Our pages load fonts from Google Fonts, which receives your IP address when the fonts are requested.
No advertising or analytics technologies. We do not use advertising cookies, tracking pixels or third-party analytics tools on our site, and none sends information about you to any advertising platform. If we introduce any in future, we will update this policy first and ask for your choice before they load.
Email. Our emails contain small image files and tracked links that tell us whether an email was opened or a link was selected. You can limit this by setting your email program not to load images automatically.
Browser signals. Because we do not use advertising or cross-site tracking technologies, your browser's "Do Not Track" or Global Privacy Control signal does not change how our site behaves.
8. Who receives your information
We share personal information only with service providers that need it to run Astra Alerts, under contracts that limit their use of it to providing services to us:
| Provider | Purpose |
|---|---|
| Kinsta | Website hosting |
| MemberPress and Gravity Forms (software running on our own site) | Membership accounts and registration forms |
| Kit (formerly ConvertKit) | Email delivery, email address confirmation and unsubscribe management |
| reCAPTCHA protection of our forms, and delivery of fonts | |
| Stripe | Payment processing, when paid memberships open |
| Airtable and Make.com | Internal records and workflow automation |
| Microsoft | Our business email, used for support correspondence |
We may also disclose personal information:
- where the law, a court order or a regulator requires it;
- to establish, exercise or defend legal claims, to enforce our terms, or to protect the rights, property or safety of Astra Alerts, our subscribers or others;
- to professional advisers such as lawyers, accountants and insurers, under duties of confidentiality;
- to a buyer or successor if Astra Alerts or substantially all of its assets are sold or merged. We will tell you by email before your information becomes subject to a different privacy policy.
If a members' community channel opens in future, we will name its provider here and in the Community Guidelines before it opens.
No sale or sharing for advertising. We do not sell your personal information, we do not share it with other parties for their advertising or for targeted advertising, and we do not give it to data brokers. We do not collect sensitive personal information, so we have none to sell.
9. How long we keep it
| Information | Kept for |
|---|---|
| Waitlist registrations that never become accounts | 24 months from registration, then deleted |
| Registrations that are never confirmed by email | Deleted within 90 days |
| Account information of current members | For as long as the membership lasts |
| Account information of former members | 24 months after the membership ends, then deleted |
| Payment and transaction records | 7 years, for tax and accounting |
| Records of your consents and of the terms you accepted | 5 years after your relationship with us ends. This record is kept even after the form submission it came from is deleted |
| Support correspondence | 3 years |
| Server logs | 12 months |
| Form submissions stored in our website database | Deleted once transferred to our email provider, and in any event within 90 days |
| A record that you unsubscribed or asked us not to contact you | For as long as needed to honor the request |
We may keep information longer where the law requires it or where it is needed for a legal claim that has been made or is reasonably expected.
10. Security
We use administrative, technical and physical safeguards appropriate to the information we hold, including encryption in transit, access controls, two-factor authentication on administrative accounts and limiting access to those who need it. No system is completely secure, and we cannot guarantee security. If a breach affects your personal information, we will notify you and the relevant authorities as the law requires, including under section 501.171 of the Florida Statutes.
11. Your choices and rights
Wherever you live in the United States, you may ask us to:
- tell you what personal information we hold about you and give you a copy;
- correct information that is inaccurate;
- delete your information, except records we must keep by law or need for a legal claim;
- stop marketing email.
Email info@astraalerts.ai or write to us at the address in section 16. We will confirm that the request comes from you, normally by replying to the email address we hold. An agent may make a request for you with your written authorization. We will respond within 45 days, or within any shorter period the law requires. If we decline a request, we will explain why, and you may ask us to reconsider by replying to our decision. We will not treat you differently for making a request. Where the law of your state gives you additional rights, including the right to appeal a decision, we will honor them.
California residents. We do not disclose personal information to third parties for their own direct marketing. Section 7 explains how we respond to browser signals. Other than Google through reCAPTCHA and Google Fonts as described there, we do not allow other parties to collect information about your online activity through our site.
Nevada residents. We do not sell personal information as Nevada law defines a sale. You may still send a request not to sell your information to info@astraalerts.ai.
12. Children
Astra Alerts is for adults aged 18 and over. We do not knowingly collect personal information from anyone under 18. If we learn that we have, we will delete it. If you believe a minor has given us information, contact info@astraalerts.ai.
13. United States only
Astra Alerts is offered only to residents of the United States. We do not market to, or knowingly accept registrations from, people in other countries. We operate from the United States and our service providers process information principally in the United States. If you send us information from another country, it will be processed in the United States, where privacy protections may differ from those where you live.
14. Links to other sites
Our site and emails may link to sites we do not operate. Their privacy practices are their own, and this policy does not cover them.
15. Changes to this policy
We may update this policy. The version number and effective date at the top always show the current version. If a change is material, we will tell you by email or by a notice on the site at least 30 days before it takes effect. A change does not apply retroactively to information collected before it takes effect unless you agree. We keep earlier versions and will provide them on request.
